Breaking up corporations and partnerships can be messy and can often lead to litigation, often involving representations and warranties that were made as part of a purchase agreement. We also initiate lawsuits on behalf of clients seeking to determine if termination of a partner was “for cause,” pursuant to the company’s employment agreements. We often assist our clients in analyzing partnership and corporate governance documents before a dispute occurs.
