Todd is a strategic advisor and counsel to publicly held and private companies on a wide array of employment law matters. Todd’s business-minded approach and commitment to client success has made him a go-to partner for private equity firms, global enterprises, and publicly traded companies in the technology, hospitality, life sciences, healthcare, and financial services industries. Todd’s practice focuses heavily on handling complex employment issues in connection with and resulting from mergers and acquisitions (both buy- and sell-side), financings, spinoffs, and divestitures.

Todd leverages and draws on his extensive litigation experience to assist clients in avoiding adversarial proceedings by focusing on improving the workplace and all aspects of the employment relationship through crafting and implementing robust policies and procedures and meaningful training and guidance.

Todd’s practice includes advising on compliance with various laws affecting the workplace, such as the FLSA, ADA, Title VII, ADEA, FMLA, NLRA and similar state and local laws. Todd advises and counsels clients on crafting and implementing multi-state policies and procedures, hiring practices, employee discipline and discharge decisions, and issues related to discrimination, harassment, retaliation, pregnancy and disability, accommodations, leaves of absence, paid time off and vacation, and multi-jurisdictional paid sick and safe leave laws and paid family and medical leaves. Todd is experienced in conducting wage and hour audits, advising clients on employee/independent contractor classification issues, and conducting and supervising internal investigations, as well as investigations conducted by administrative agencies like the Equal Employment Opportunity Commission and state/local human rights commissions. Todd also assists clients in drafting employment, independent contractor, and separation agreements, as well as restrictive covenants to protect employers’ business interests and confidential information or trade secrets.

Prior to joining VKHH, Todd was a partner in the employment practice group of a major global law firm.

Representative Matters

Trade Secret Claims

  • Represented one of the nation’s largest independent specialty pharmacies in a lawsuit against a former software provider for misappropriation of trade secrets and unauthorized use and disclosure of confidential information. Relying heavily on forensic evidence and expert testimony, obtained favorable preliminary rulings for our client, allowing a successful resolution that included the opposition’s agreement to the permanent injunctive relief that was sought, as well as payment of attorneys’ fees.

Corporate Investigations

  • Led an investigation on behalf of a global communications service provider facing allegations that high-level executives were violating the company’s code of conduct and, while in the process of doing so, uncovered evidence that an employee had been compromised by a foreign government, allowing the company to take swift action to mitigate potential negative effects of the situation.
  • Led an investigation on behalf of a global technology company into allegations that employees had made death threats to another employee for filing a report against them. The client was forced to relocate the reporting employee to another country pending investigation, and the investigation ultimately uncovered a multi-national embezzlement scheme conducted by a group of employees throughout the organization.
  • Led an investigation on behalf of a global energy and technology company into allegations that a C-suite executive engaged in sex-based discrimination and retaliation.
  • Led an investigation into allegations that a former business owner misrepresented various corporate issues, including allegations of sexual harassment, during the due diligence conducted by our client prior to the purchase.

Corporate Transactions

  • Led sell-side employment diligence for a $1 Billion acquisition of client by a company, that provides a global enterprise AI platform for job candidate evaluations and recruiting.
  • Led employment diligence for a tech-focused private equity firm’s $130 million acquisition of a leading provider of real-time clinical trial oversight for pharmaceutical companies and clinical research organizations.
  • Led employment diligence for a tech-focused private investment firm’s $120 million acquisition of a leading provider of education-related business management services.
  • Advised a leading alternative investment management firm and a Houston-based energy company in the sale of oil and gas mineral and royalty interests for approximately $404 million in a transaction comprised of cash and stock.
  • Led employment diligence for the $250 million sale of the North American subsidiary of a leading global engineering company.
  • Led employment diligence for a $550 million acquisition of a leading provider of enterprise IT solutions and services by a global leader in energy projects, technologies, systems, and services.
  • Oversaw a global restructuring effort resulting in a reduction in force affecting tens of thousands of employees, including handling WARN notices, implementing retention programs for remaining employees, and resolving related disputes that arose post-notification.

Defense of Whistleblower Claims

  • Represented a global IT and software development company in a whistleblower matter before the U.S. Department of Labor. The matter was dismissed at the pleading stage for lack of jurisdiction.

Defense of EEOC Charges

  • Represented a healthcare client in a multi-year, nationwide EEOC enforcement action. Following intensive negotiations with two EEOC field offices and its primary office in Washington D.C., we obtained a favorable settlement.

Government Contractor Compliance

  • Represented a multi-billion-dollar consulting firm in connection with government contracting issues involving novel requirements imposed by a government agency. The agency sought candidates who could satisfy stringent protocols for government security clearances while also ensuring compliance with all employment-related laws.
  • Represented a government staffing agency in connection with a complex U.S. Department of Labor investigation involving the exemption status of thousands of employees. Successfully resolved the matter on terms that were extremely favorable to the client.
  • Represented a government staffing agency in connection with a U.S. Department of Labor investigation related to the provision of fringe benefits under certain task orders and wage determinations. Successfully resolved the matter on terms that were extremely favorable to the client.
