Senior Associate

Breegan is a trusted advisor to U.S. companies across industries on a broad range of employment law and workforce compliance matters. She combines deep legal knowledge with a business-oriented approach to help employers manage risk, support organizational goals, and foster workplace environments that are compliant, equitable, and productive.

Breegan’s practice focuses heavily on advising private equity sponsors, portfolio companies, and sophisticated employers on the workforce and executive issues that shape the success of corporate transactions. She is a trusted member of transaction teams, guiding clients through the employment considerations that directly impact valuation, risk allocation, and post-closing integration.

Breegan leads employment due diligence in mergers and acquisitions (both buy- and sell-side), financings, spinoffs, and divestitures, identifying and assessing labor and employment exposure, structuring solutions to mitigate risk, and negotiating employment-related provisions in purchase agreements. This work includes advising on employment arrangements, consulting arrangements, and restrictive covenants, ensuring that workforce strategy aligns with economics and long-term growth objectives for each transaction. Post-closing, she partners with leadership teams to execute integration, restructuring, and workforce optimization strategies efficiently and defensibly.

Beyond her transactional practice, Breegan serves as a strategic advisor to companies with U.S. operations on complex workplace compliance and risk management matters. She counsels employers across the full employment lifecycle, including compliance with Title VII, the ADA, the FLSA, and the FMLA, and regularly advises on high-stakes personnel decisions, reductions in force, internal investigations, and executive-level issues.

Breegan drafts and negotiates employment agreements—including agreements containing restrictive covenants designed to protect business interests, confidential information, and trade secrets—as well as separation and release agreements. She regularly advises on hiring practices, employee discipline and terminations, reductions in force, internal investigations, and employee complaints. She also works closely with employers to develop and implement employee handbooks and policies, helping establish policy management systems that balance compliance obligations with company culture and risk tolerance.

She also has experience representing and guiding employers through audits and investigations before federal and state agencies, including the U.S. Equal Employment Opportunity Commission and the U.S. Department of Labor.
